Agreement to Terms
Access to the Ravencourt Private Banking Group web portal and digital services (the "Portal") is provided by Ravencourt Private Banking Group ("Ravencourt," "we," "us," or "our"), which shall mean Ravencourt Private Banking Group LLC and its affiliates, and their officers, directors, managing directors, partners, and employees. The "Ravencourt Portal" shall mean the online banking and investment platform available to authorized clients and the general public at ravencourtbank.com and select other domains operated by Ravencourt.
By accessing or using the Portal or any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree, you must immediately cease using the Portal and Services.

Monitoring by Ravencourt
Your use of the products and services on this Portal may be monitored by Ravencourt, and the resultant information may be used by Ravencourt for its internal business purposes or in accordance with the rules of any applicable regulatory or self-regulatory organization, including the Federal Reserve, FDIC, OCC, FINRA, and FinCEN. By accessing the Portal, you expressly consent to such monitoring. All monitoring activities are conducted in compliance with applicable federal and state law, including the Electronic Communications Privacy Act and the Bank Secrecy Act.
Information Made Available Through This Service
You are permitted to store, display, analyze, modify, reformat, and print the information made available to you via the Portal only for your own personal banking and financial management purposes. You are not permitted to publish, transmit, or otherwise reproduce this information, in whole or in part, in any format to any third party without the express written consent of Ravencourt.
In addition, you are not permitted to alter, obscure, or remove any copyright, trademark, or any other notices provided to you in connection with the information. Ravencourt reserves the right, at any time and from time to time, in the interests of its own editorial discretion and business judgment, to add, modify, or remove any of the information available through the Portal.
These Terms and Conditions are not intended to, and will not, transfer or grant any rights in or to the information other than those which are specifically described herein. All rights not expressly granted herein are reserved by Ravencourt or the third-party providers from whom Ravencourt has obtained the information. You are required to read and abide by any additional terms and conditions that may be posted on this service from time to time concerning information obtained from specific third-party providers. Such third-party providers shall have no liability to you for monetary damages on account of the information provided to you via this service.
No Warranties as to Content; No Responsibility to Update
Ravencourt makes no warranty, express or implied, concerning this service or the Portal. The services provided by Ravencourt and our third-party providers are on an "AS IS" basis at your sole risk. Ravencourt expressly disclaims any implied warranty of merchantability or fitness for a particular purpose, including any warranty for the use or the results of the use of the services with respect to their correctness, quality, accuracy, completeness, reliability, performance, timeliness, or continued availability.
Neither Ravencourt nor any of its third-party providers shall have any responsibility to maintain the data and services made available on this Portal or to supply any corrections, updates, or releases in connection therewith. Availability of data and services are subject to change without notice. Market data, investment prices, and cryptocurrency valuations displayed on the Portal are provided for informational purposes only and may be delayed or approximate.
Investment Risk Warning
Past performance of any investment is not indicative of future results. All investments involve risk, including the possible loss of principal. Cryptocurrency and digital asset investments are highly volatile and speculative and may not be suitable for all investors.
Account Eligibility & Access
- Access to the Portal is restricted exclusively to authorized account holders who have completed Ravencourt's Know Your Customer (KYC) and Anti-Money Laundering (AML) verification process
- You must be at least 18 years of age and legally capable of entering into binding agreements under applicable law
- Corporate or entity accounts require authorized signatories and relevant corporate documentation as determined by Ravencourt's compliance team
- You are responsible for maintaining the security and confidentiality of your login credentials, transaction PIN, and security question answer at all times
- You must notify Ravencourt immediately at +1 (212) 555-0100 if you suspect unauthorized access, compromise of credentials, or any suspicious activity on your account
- Ravencourt reserves the right to suspend or terminate account access if unusual activity, regulatory concerns, or violations of these Terms are detected, without prior notice where immediate action is required to protect client assets
No Liability for Content; No Liability Arising from Use
Ravencourt shall have no liability, contingent or otherwise, to you or to third parties, or any responsibility whatsoever, for the failure of any connection or communication service to provide or maintain your access to this Portal, or for any interruption or disruption of such access or any erroneous communication between Ravencourt and you, regardless of whether the connection or communication service is provided by Ravencourt or a third-party service provider.
Ravencourt shall have no liability, contingent or otherwise, to you or to third parties, for the correctness, quality, accuracy, timeliness, reliability, performance, continued availability, completeness or delays, omissions, or interruptions in the delivery of the data and services available on this Portal, or for any other aspect of the performance of this service, or for any failure or delay in the execution of any transactions through this service.
In no event will Ravencourt be liable for any special, indirect, incidental, or consequential damages which may be incurred or experienced on account of you using the data or services made available on this Portal, even if Ravencourt has been advised of the possibility of such damages. Ravencourt will have no responsibility to inform you of any difficulties experienced by Ravencourt or third parties with respect to the use of the services or to take any action in connection therewith.
No Warranties as to Security
While Ravencourt implements industry-leading security measures including 256-bit TLS encryption, AES-256 at-rest encryption, multi-factor authentication, and 24/7 security monitoring, Ravencourt makes no warranty whatsoever to you, express or implied, regarding the absolute security of the Portal, including with respect to the ability of unauthorized persons to intercept or access information transmitted by you through this service.
You are responsible for maintaining the security of your own devices, network connections, and access credentials. Ravencourt strongly recommends the use of secure, private networks when accessing the Portal and advises against accessing banking services from public Wi-Fi networks.
System Outages, Slowdowns & Capacity Limitations
As a result of high internet traffic, transmission problems, systems capacity limitations, cybersecurity incidents, and other problems, you may, at times, experience difficulty accessing the Portal or communicating with Ravencourt through the internet or other electronic and wireless services. Any computer system or other electronic device — whether yours, an internet service provider's, or Ravencourt's — can experience unanticipated outages or slowdowns, or have capacity limitations.
Ravencourt shall not be liable for any delays in transaction processing, investment execution, or wire transfers caused by system outages, third-party network failures, regulatory processing queues, or force majeure events including but not limited to natural disasters, pandemics, cyberattacks, or government actions.
Transaction Terms
- Authorization & Finality — All transactions require authorization via your 4-digit transaction PIN. Once authorized and submitted, transactions are binding and final and cannot be reversed except in accordance with applicable law or Ravencourt's dispute resolution process
- Domestic ACH Transfers — Processed within 1–2 business days. Cut-off time is 3:00 PM EST for same-day initiation. Ravencourt is not responsible for delays caused by the receiving institution
- Domestic Wire Transfers — Same-day processing for requests submitted before 3:00 PM EST on business days. Standard fee of $25 per outgoing wire applies
- International SWIFT Transfers — Processing time is 3–5 business days depending on the receiving jurisdiction and correspondent bank chain. Currency conversion fees and correspondent bank charges apply and are in addition to Ravencourt's standard fee of $45 per outgoing international wire
- Investment Transactions — Stock purchases are executed at prevailing live market prices at time of order confirmation. Cryptocurrency purchases are executed at the prevailing exchange rate at the time of order confirmation. All investment transactions are final once authorized by PIN
- Erroneous Transfers — Ravencourt is not liable for losses resulting from your provision of incorrect payment details, including erroneous account numbers, routing numbers, SWIFT codes, or beneficiary names. You are solely responsible for verifying all payment details before authorization
- Insufficient Funds — Transactions that would result in a negative account balance will be declined. Ravencourt does not offer overdraft facilities for standard private banking accounts
Content Not to Be Construed as Solicitation or Recommendation
Information and data made available through the Ravencourt Portal has been prepared for informational purposes only, without regard to any particular user's investment objectives, financial situation, or means. Ravencourt is not soliciting any action based upon it. This material is not to be construed as a recommendation, or an offer to buy or sell, or the solicitation of an offer to buy or sell any security, financial product, or instrument, or to participate in any particular trading strategy in any jurisdiction in which such an offer or solicitation or trading strategy would be illegal.
Certain transactions, including those involving equities, fixed income securities, derivatives, and cryptocurrency assets, give rise to substantial risk and are not suitable for all investors. Although information displayed is based upon data that Ravencourt considers reliable and endeavors to keep current, Ravencourt has not independently verified all such information and does not represent that all material is accurate, current, or complete, and it should not be relied upon as such.
No Determination of Suitability; Private Advisors Should Be Consulted
The fact that Ravencourt has made the data and services provided on this Portal available to you constitutes neither a recommendation that you enter into a particular transaction nor a representation that any product described on this Portal is suitable or appropriate for you. Many of the products described on this Portal involve significant risks, and you should not enter into any transactions unless you have fully understood all such risks and have independently determined that such transactions are appropriate for you.
Any discussion of the risks contained herein with respect to any product should not be considered to be a disclosure of all risks or a complete discussion of the risks which are mentioned. You should neither construe any of the material contained herein as business, financial, investment, hedging, trading, legal, regulatory, tax, or accounting advice, nor make this Portal the primary basis for any investment decisions made by or on behalf of you, your accountants, or your managed or fiduciary accounts. Permitted Use & Prohibited Activities
You accept sole responsibility for all of your activities using the Portal. You may not use the Portal in a manner that:
- Uses technology or other means not authorized by Ravencourt to access the Portal or our systems, including unauthorized credential sharing or account takeover
- Uses or launches any manual or automated device or system, including "robots," "spiders," or "offline readers," to retrieve, index, "scrape," "data mine," or otherwise gather Portal information or access our systems
- Reverse engineers, decompiles, or disassembles any portion of the Portal, except where such restriction is expressly prohibited by applicable law
- Attempts to introduce viruses or any other computer code, files, or programs that interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment
- Attempts to gain unauthorized access to Ravencourt's computer network, internal systems, or any other client's accounts
- Is used for money laundering, terrorist financing, fraud, market manipulation, or any other illegal financial activity in violation of the Bank Secrecy Act, USA PATRIOT Act, or any other applicable law
- Harasses, abuses, stalks, threatens, defames, or otherwise infringes or violates the rights of Ravencourt or any other party
- Reproduces, modifies, adapts, translates, creates derivative works of, sells, rents, leases, loans, distributes, or otherwise exploits any portion of the Portal without express prior written consent from Ravencourt
- Encourages conduct that would constitute a criminal offense or that gives rise to civil liability under applicable law
- Fails to comply with applicable third-party terms of service or any additional terms posted on the Portal from time to time
No Representations as to Third-Party Sites or Links
This Portal may provide links to certain internet sites sponsored and maintained by third parties. Ravencourt is providing such links solely as a convenience to you. Accordingly, Ravencourt makes no representations concerning the content of such third-party sites. The fact that Ravencourt has provided a link to a third-party site does not constitute an endorsement, authorization, sponsorship, or affiliation by Ravencourt with respect to that site, its owners, or its providers. Ravencourt has not tested any information, software, or products found on any of the linked sites and therefore does not make any representations with respect thereto.
Fees & Charges
A complete schedule of fees for all banking and investment services is available from your Relationship Manager or in your account documentation. Key standard fees include:
- Account Maintenance — Waived for clients maintaining a combined balance of $500,000 or above across all Ravencourt accounts
- Domestic Wire Transfers — $25 per outgoing wire; incoming domestic wires are received free of charge
- International SWIFT Transfers — $45 per outgoing wire plus applicable correspondent bank charges; currency conversion at Ravencourt's posted exchange rate at time of execution
- Investment Management Advisory Fee — Annual fee based on assets under management as detailed in your executed Investment Management Agreement
- Returned Payment Fee — $35 for ACH transactions returned due to insufficient funds or incorrect account details
- Card Replacement Fee — $15 for standard replacement; $35 for expedited delivery
Ravencourt reserves the right to modify its fee schedule at any time with 30 days' written notice to affected clients, except where immediate changes are required by regulation.
Limitation of Liability
To the fullest extent permitted by applicable law, Ravencourt's total liability to you for any claim arising out of or in connection with these Terms shall not exceed the total fees paid by you to Ravencourt in the preceding 12-month period. Ravencourt shall not be liable for:
- Losses arising from your failure to maintain the security of your login credentials, PIN, security question answers, or authorized devices
- Delays in transaction processing caused by third-party correspondent banks, payment networks, regulatory holds, or force majeure events
- Market losses on investment products resulting from price fluctuations, market conditions, economic events, or geopolitical developments
- System outages, technical failures, or service interruptions caused by circumstances beyond Ravencourt's reasonable control
- Losses resulting from your provision of incorrect payment details, including erroneous account numbers or routing information
- Any special, indirect, incidental, punitive, or consequential damages of any kind, even if Ravencourt has been advised of the possibility of such damages
Governing Law & Dispute Resolution
These Terms and all disputes arising thereunder are governed by the laws of the State of New York and applicable federal banking law, without regard to conflict of law principles. Any dispute that cannot be resolved informally through your Relationship Manager shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in New York, NY. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action proceedings and class-wide arbitration are expressly waived to the fullest extent permitted by law. Nothing in this arbitration clause limits your right to file complaints with the Consumer Financial Protection Bureau (CFPB), FDIC, OCC, Federal Reserve, or other applicable regulatory agencies.
Regulatory Complaint Rights
You always retain the right to file complaints with the CFPB at consumerfinance.gov, the FDIC at fdic.gov, the OCC at helpwithmybank.gov, or FINRA at finra.org regardless of any arbitration agreement.
DMCA — Copyright Infringement Notice
You may not use the Portal for any purpose or in any manner that infringes the rights of any third party. In accordance with the Digital Millennium Copyright Act of 1998 (the "DMCA"), Ravencourt has a designated agent for receiving notices of alleged copyright infringement and follows the notice and take-down procedures of the DMCA. Ravencourt may terminate your access to the Portal in the event of repeated violations.
If you believe a user is, through the use of the Portal, unlawfully infringing your copyright(s), please provide the following information in writing to our designated copyright agent: (i) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing; (iv) information reasonably sufficient to permit Ravencourt to locate such material; (v) your contact information including address, phone number, and email address; (vi) a statement of good faith belief that use of the material is not authorized by the copyright owner; and (vii) a statement under penalty of perjury that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

Modifications to These Terms
Ravencourt reserves the right to modify these Terms and Conditions at any time. Material changes will be communicated to clients with a minimum of 30 days' advance notice via your registered email address or through a notification in the Portal. Your continued use of the Portal after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease using the Portal and contact your Relationship Manager to discuss your account options.
